Acceptance of Terms

These Terms of Use set forth the legally binding terms and conditions that apply to all visitors, users, buyers, sellers, and others who access or use the e-commerce marketplace operated by our company. Please read these terms carefully before you start to use the platform, because by using the platform or by clicking to accept or agree to the terms when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, which is incorporated herein by reference.
This platform is designed to facilitate transactions between independent buyers and sellers. While we provide the venue and tools for these transactions, we are not a party to any agreement or contract between buyers and sellers, and we do not assume any responsibility for the quality, safety, legality, or delivery of goods or services offered by sellers. You acknowledge that the platform operator acts solely as an intermediary and that all transactions are conducted at your own risk.
These Terms of Use may be amended from time to time to reflect evolving legal requirements, changes in our service offerings, or modifications to our business model. The most current version of the Terms of Use will always be accessible via a link on the platform's homepage. By continuing to access or use the platform after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the platform.

Account Registration and Security

To participate in the marketplace as either a buyer or a seller, you must establish a user account. During registration, you will be required to provide certain personal information, which may include your name, email address, physical address, telephone number, and in the case of sellers, additional business verification documentation. You warrant that all information provided during registration and subsequently maintained in your account profile is truthful, accurate, and complete.
You are responsible for safeguarding the password and other authentication credentials you use to access your account and for any activities or actions under your password. We encourage you to use strong, unique passwords and to change them periodically. The platform shall not be liable for any loss or damage arising from your failure to comply with the above requirements. If you become aware of any unauthorized use of your account or any breach of security, you must notify us without delay.
The platform reserves the right to reject any registration application and to suspend or terminate any account at any time for any reason, including without limitation if we believe that you have violated any provision of these Terms of Use, provided false or misleading information, engaged in fraudulent activity, or otherwise conducted yourself in a manner detrimental to the platform or its community. Upon termination, you must cease all use of the platform and any data obtained therefrom.
If you register as a seller on the platform, you are additionally responsible for maintaining accurate inventory records, fulfilling orders in a timely manner, honoring your return and refund policies as displayed on your storefront, and complying with all applicable laws and regulations governing the sale of your products, including consumer protection statutes, product safety standards, and tax collection and remittance obligations.

Intellectual Property Rights

The platform, including its underlying technology, database structures, search algorithms, recommendation engines, user interface designs, category taxonomies, and all original content created by the platform team, constitutes valuable intellectual property owned exclusively by the platform operator. This ownership extends to all derivative works, improvements, enhancements, and modifications of the platform, whether created by employees, contractors, or through automated machine learning processes.
The platform's distinctive brand identity, including its name, logos, slogans, color schemes, typography, iconography, and overall visual presentation, is protected under trademark and trade dress laws. No party may use, reproduce, or imitate any element of the platform's brand identity without express written authorization. This prohibition extends to metatags, hidden text, search engine optimization tactics, domain name registrations, and social media profiles that could cause confusion regarding the source or endorsement of goods or services.
User-submitted content remains the intellectual property of the user who created it. However, by submitting content to the platform, you grant us an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license, with the right to sublicense, to use, copy, publicly perform, publicly display, reformat, translate, excerpt in whole or in part, and distribute such content for any purpose in connection with the platform, and to prepare derivative works of, or incorporate into other works, such content, and to grant and authorize sublicenses of the foregoing.
We take claims of intellectual property infringement seriously. If you believe that any material available on or through the platform infringes upon any intellectual property right you own or control, please promptly notify our designated intellectual property agent with a detailed written notice containing the identification of the copyrighted work claimed to have been infringed, identification of the material that is claimed to be infringing, information reasonably sufficient to permit us to locate the material, and your contact information.

Prohibited Activities

The platform maintains a safe and trustworthy marketplace environment through the enforcement of clear rules of conduct. You are prohibited from using the platform to engage in any fraudulent scheme or deceptive practice, including listing counterfeit or unauthorized goods, manipulating ratings or reviews through fabricated transactions, misrepresenting the nature, origin, or characteristics of any product, or colluding with other users to artificially inflate sales metrics or search rankings.
You may not employ any automated or programmatic means to extract data from the platform, monitor or copy any content, or bypass any technical measures we employ to protect the platform's integrity. Activities such as scraping product catalogs, harvesting user profiles, mining transaction data, or using bots to place orders or manipulate auction-style listings are expressly forbidden and will result in immediate account termination and potential legal action.
You may not interfere with or disrupt the integrity or performance of the platform, its servers, or its networks. This includes uploading or transmitting viruses, malware, Trojan horses, ransomware, spyware, adware, or any other malicious or intrusive code; attempting to probe, scan, or test the vulnerability of the platform's systems; circumventing any authentication or security measures; or imposing an unreasonable or disproportionately large load on the platform's infrastructure through excessive API calls, rapid-fire searches, or other abusive techniques.

Dispute Resolution and Governing Law

You and the platform operator agree to resolve any claims relating to these Terms of Use or the platform through final and binding arbitration, except as set forth below. The arbitration shall be conducted through a nationally recognized arbitration body under its rules and procedures for consumer-related disputes. The parties shall share equally the costs of arbitration, provided that each party shall bear its own attorneys' fees and costs unless the arbitrator determines that a claim was frivolous or brought in bad faith.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and the platform operator each waive any right to a jury trial. You also agree that you may bring claims against the platform operator only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
The platform is provided on an as-is and as-available basis. The platform operator makes no representations or warranties of any kind, express or implied, as to the operation of the platform, or the information, content, materials, or products included on the platform. You expressly agree that your use of the platform is at your sole risk. The platform operator does not warrant that the platform, its servers, or communications sent from the platform are free of viruses or other harmful components.
In no event shall the platform operator, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, arising from your use of any of the services or any products procured using the platform. The platform operator may terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use.
